General Terms and Conditions

Flat Rate Inspections

Flat rates for inspections will be presented and agreed upon prior to scheduling. These rates cover only the specific inspection and do not include corrective actions, parts, or materials. Following the completion of the inspection(s), an AeroHP Maintenance LLC representative will contact the client to review any outstanding issues and provide an estimated cost for any necessary corrective actions. This estimate is preliminary and may not reflect the final invoice.

Flat rate inspection quotes are valid for 30 days from the date presented. Quotes not scheduled within this period may be subject to re-quoting at then-current rates.


Corrective Action Costs

Labor, parts, shipping, and shop supplies for corrective actions are billed separately from the flat rate inspection, based on current repair station rates as disclosed in the applicable estimate.


Rate Changes

AeroHP Maintenance LLC reserves the right to adjust flat rates, labor rates, parts costs, and other repair station expenses at its sole discretion, excluding work orders already in progress. For long-term projects (i.e., those lasting several months), any rate changes will be communicated to the client and will apply from that point forward.


Research and Coordination

AeroHP Maintenance LLC requires aircraft logbooks at the time of a scheduled inspection for review. Any necessary advance work, research, and client coordination will be disclosed to the client and noted on the work order prior to being performed.


Quotes and Estimates

All quotes and estimates provided by AeroHP Maintenance LLC are provisional and are intended solely for informational purposes. They do not constitute a final invoice, binding offer, or guaranteed price for services. While AeroHP Maintenance LLC makes every effort to ensure the accuracy of its estimates, actual costs may vary due to unforeseen conditions, additional findings, or changes in the scope of work.


Any material deviations from the original estimate will be communicated to the client in a timely manner, and no additional work will be performed without the client's prior authorization.


Estimated Completion Date

Any estimated completion date provided by AeroHP Maintenance LLC Maintenance LLC is directional only and reflects AeroHP Maintenance LLC Maintenance LLC's best expectation at the time it is given, based on the information available. It is not a guaranteed delivery date. Once a project is underway and the scope of work, parts requirements, and labor timelines are better understood, AeroHP Maintenance LLC Maintenance LLC will communicate a more refined completion estimate to the client.


Clients should be aware that completion dates are subject to change due to factors including, but not limited to, complications discovered during the course of the work, change orders, parts and vendor availability, shipping delays, availability of specialized labor or equipment, and delays in obtaining client approval for additional work or cost increases. Such factors are often outside of AeroHP Maintenance LLC direct control.


AeroHP Maintenance LLC will make every reasonable effort to promptly communicate any anticipated delay and its impact on the completion date as soon as it becomes known, so that the client can plan accordingly.


Labor Warranty

AeroHP Maintenance LLC warrants labor directly related to completed work orders for 90 days or 20 flight hours from the date of completion, whichever occurs first. If a defect in AeroHP Maintenance LLC's workmanship is identified within this period, AeroHP Maintenance LLC will re-perform the defective labor at no additional charge. This warranty does not cover parts (which carry their own manufacturer or vendor warranty, if any), damage resulting from improper operation, unauthorized third-party work, normal wear, or conditions unrelated to the original work performed.


A local post-maintenance operational check flight is strongly recommended to verify proper function and safety prior to further dispatch. If discrepancies are discovered after the aircraft has left the facility, AeroHP Maintenance LLC will determine, at its reasonable discretion, whether the discrepancy is warrantable. Additional charges will apply for offsite troubleshooting, travel time, mileage, and support, billed at AeroHP Maintenance LLC's then-current rates, whether or not the underlying issue is ultimately determined to be warrantable.


Third-Party Work Limitation: If any maintenance, modification, or related work is performed by a party other than AeroHP Maintenance LLC on systems or components associated with work covered by this warranty, AeroHP Maintenance LLC reserves the right to reasonably determine, based on the nature and scope of the third-party work, whether and to what extent the warranty remains valid. Unauthorized third-party intervention may void the warranty in whole or in part with respect to the affected system or component.


Core Exchanges

AeroHP Maintenance LLC may offer parts on a core exchange basis, allowing clients to purchase new, overhauled, or serviceable components at a reduced cost contingent upon the return of an acceptable core unit. Core charges are not invoiced in advance but will be disclosed to the client prior to procurement.


All cores must be returned in accordance with the vendor's return policy and within the specified time frame. Cores are subject to evaluation by the overhaul facility or vendor. In the event a core is deemed unacceptable or is rejected for any reason, the applicable core rejection fee or penalty will be invoiced to the client upon AeroHP Maintenance LLC's receipt of the vendor's determination.


Sales Tax

A sales tax of 8.25% applies to all parts, shipping costs, and shop consumables. Sales tax does not apply to labor and is listed as a separate line item on the invoice.


Deposits

Deposits may be required at AeroHP Maintenance LLC's discretion, based on the scope, estimated cost, and duration of the work order. Deposits must be made before work can commence. For long-term projects, a weekly running deposit will be billed at the completion of each week's progress.

If a client cancels a work order after a deposit has been made but before work has commenced, the deposit will be refunded less any costs already incurred by AeroHP Maintenance LLC, including but not limited to parts ordered, restocking fees, and scheduled labor that could not be reassigned. If a client cancels after work has commenced, charges will be based on labor and materials expended to date, plus any applicable cancellation or restocking fees.


Payment Due

Full payment is due upon completion of work and prior to the aircraft's departure and the return of aircraft records. Electronic payments are preferred and can be made through an emailed electronic payment link, which accepts credit cards, debit cards, and ACH transactions. Checks sent via postal service require prior approval and are not accepted otherwise. There are no credit card fees or additional charges.


Late Payment Policy

A late fee of 1.5% per month (or the maximum rate permitted by applicable law, whichever is less) will be assessed on any unpaid balance not received within five (5) days of the due date. Interest will accrue monthly until the outstanding balance is paid in full.


Client-Provided Parts

Clients may supply parts or components for inclusion in the work order, but each part must pass AeroHP Maintenance LLC's quality control inspection. Parts will be visually inspected for part and serial numbers, markings, and general condition. Documentation indicating an approved or accepted source must accompany all parts. Parts failing inspection will be red tagged with identified discrepancies and returned to the client. Each part will be charged an inspection and indoctrination fee. 


Parts Removed as Unserviceable

Parts removed from the aircraft as unserviceable will be rendered unusable and disposed of by AeroHP Maintenance LLC in accordance with FAA guidance to prevent reinstallation or return to service, unless prior arrangements have been made with the client for return of the part.


Limitation of Liability

AeroHP Maintenance LLC's total liability arising out of or related to any work order, whether based on contract, tort (including negligence), or any other legal theory, shall not exceed the total amount paid by the client for the specific work order giving rise to the claim. In no event shall AeroHP Maintenance LLC be liable for consequential, incidental, special, or indirect damages, including but not limited to loss of use, lost revenue, lost charter or business income, or the cost of substitute aircraft or transportation, even if AeroHP Maintenance LLC has been advised of the possibility of such damages. Nothing in this section is intended to limit liability to the extent such limitation is prohibited by applicable law.


Storage Fees

If a client fails to retrieve the aircraft within five (5) business days of notification that work is complete and payment has been received, a storage fee of $100 per day will apply. AeroHP Maintenance LLC reserves the right to relocate the aircraft to outdoor or alternate storage at the client's expense if hangar space is required for other work.


Force Majeure

AeroHP Maintenance LLC shall not be liable for delays or failure to perform caused by circumstances beyond its reasonable control, including but not limited to parts backorders or vendor delays, weather, labor disputes, acts of government, or other events of force majeure. Estimated completion dates will be adjusted accordingly and communicated to the client.


Risk of Loss / Insurance

The client is responsible for maintaining hull and liability insurance on the aircraft while in AeroHP Maintenance LLC's care, custody, or control. AeroHP Maintenance LLC maintains hangarkeeper's and general liability insurance; certificates are available upon request. AeroHP Maintenance LLC is not responsible for loss or damage arising from causes outside its direct control, including acts of God, theft, or third-party actions on the premises.
